Terms of Engagement
Advisory engagements with Structured Capital LLC (“SCLLC”) are governed by a written engagement letter specifying scope, role, and compensation.
Nature of Services
SCLLC provides independent corporate finance advisory and private placement structuring services on a non-securities basis. SCLLC is not currently registered as a broker-dealer and does not hold itself out as such.
Engagement Scope
Each assignment is defined by a written agreement executed prior to substantive work, addressing the advisory scope, transaction parameters, and any compensation arrangements. No representation or outcome is guaranteed by engagement alone.
Confidentiality
Information shared during an engagement is handled with professional care and is subject to the confidentiality terms set forth in the applicable engagement agreement and customary non-disclosure arrangements.
Governing Law
SCLLC is a Texas Limited Liability Company. Engagement terms are generally governed by the laws applicable to the engagement and the jurisdiction of the parties.
